ProxyAddress is an award winning social enterprise providing services to local authorities to allow individuals facing homelessness to access the services and supoort needed. ProxyAddress acts as a data controller, deciding the purpose and means of how some of your personally identifiable information is collected, processed, and stored. All personally identifiable information is used and held in accordance with our privacy and security policies.

Acceptable use - prohibited uses

Suspension and termination

Failure to comply with these terms constitutes a material breach of the terms of use upon which you are permitted to use our site, and may result in our taking or further action, including legal proceedings or disclosing such information to law enforcement authorities as we reasonably feel is necessary.

We exclude liability for actions taken in response to breaches of this acceptable use policy. The responses described in this policy are not limited, and we may take any other action we reasonably deem appropriate.

Viruses

We do not guarantee that our site will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform to access our site. You should use your own virus protection software.

You must not misuse our site by knowingly introducing viruses, Trojans, worms, logic bombs or other material that is malicious or technologically harmful. Jurisdiction

Please note that these terms of use, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England will have exclusive jurisdiction.

Our agreement with you

These terms are intended for Clients who use ProxyAddress to support their residents in preventing and relieving homelessness. They apply to your access and use of the service (as defined below), which together with:

• Your contract schedule (where provided)
• ProxyAddress’ service user terms
• ProxyAddress’ privacy policy

form the agreement between you (“the client”) and us (the “Agreement”). This agreement supersedes any written or oral representations, statements, understandings or agreements.

Your use of the service, any downloaded material from it and the operation of this agreement shall be governed by, construed and interpreted in accordance with the law of England and you agree to submit to the exclusive jurisdiction of the English courts.

Failure or delay by either party in enforcing any term of the Agreement shall not be construed as a waiver of any of its rights under it.

The illegality, invalidity or unenforceability of any part of this agreement will not affect the legality, validity or enforceability of the remainder.

Definitions used in these business terms

“Agreement” means this agreement together with the Contract schedule, Service user terms, and Privacy policy;

“Credit” means the credits made available to a client under their chosen payment plan which can be used to onboard data subjects under the service.

“Customer data” means any data subject information necessary for us to provide the service to the client, including, but not limited to a legible copy of the data subject’s passport, driver's licence or national identity card;

“Intellectual property” means any patent, invention, copyright, database right, registered or unregistered design, trademark (whether registered or unregistered), trade name, logo, trade secrets, know-how or other industrial or intellectual property right subsisting anywhere in the world, and applications for any of the foregoing, together with the goodwill thereon;

“The client” means you, being the company, firm, corporation or public authority who wishes to purchase the services;

“The Data subject(s)” means the individual who has been referred to ProxyAddress by the client to provide their personal information and access the service;

“The service” means the services provided by ProxyAddress to the client as detailed further in the Contract schedule;

“The Service user” means an employee, agent, consultant or contractor from the client’s organisation making use of “The service” on behalf of the client;

“The Website” means the ProxyAddress website at proxyaddress.co.uk - or any other site operated by ProxyAddress.

Commencement, term, and termination

Signing up with ProxyAddress
In order to access and use the service, a ProxyAddress account must first be created. You can apply for an ProxyAddress account by emailing a member of our team at sales@proxyaddress.co.uk. On acceptance of your registration, you will receive email confirmation and an account set up email invitation will be sent to the service users linked to your ProxyAddress account. On acceptance of your registration, you will be offered training on use of your ProxyAddress account and additional after sales services.

If you are opening an ProxyAddress account because you have been referred to us by someone else, or under a specific arrangement, the account sign up process may vary.

Given the potentially sensitive nature of the information that may be returned using ProxyAddress, ProxyAddress is required to undertake due diligence on prospective clients prior to providing The Services. ProxyAddress reserves the right to refuse any registration application entirely at our own discretion.

Subscription term
ProxyAddress is offered as an annual subscription. The agreed subscription term is detailed in the Contract schedule (the “subscription term”). The subscription term shall continue unless terminated by either party in accordance with these Business terms.

Closing your ProxyAddress account
The agreement will remain in full force and effect as long as you continue to access or use the service, or until terminated by you or us for any reason set out in these Business terms.

Cancellation by you
You can close your ProxyAddress account by providing 30 day’s notice before the end of the annual subscription by contacting our client management team via the online ticket support feature or by emailing support@proxyaddress.co.uk. On submitting a cancellation notice, access to the service will be revoked on the date falling 30 days’ after your next invoice date. Please note that no refund will be made for any subscription fees or unused credits already billed and paid.

Suspension and termination by ProxyAddress

ProxyAddress shall be entitled (at its own discretion) to suspend the service or terminate this agreement with immediate effect if the client:

• Fails to comply with any of its obligations under this agreement (including the Data processing agreement and Service user terms
• Commits any material breach of any of the terms of this agreement where such breach is irremediable or remains un-remedied after ten business days of the client being notified by ProxyAddress of the breach;
• Fails to pay any amount due under this agreement;
• Is rude or offensive to ProxyAddress staff or otherwise abuses the service in any way (to be determined at ProxyAddress’ discretion);
• Becomes insolvent or is put into liquidation or administration or otherwise ceases to carry on business.

On termination of this Agreement by ProxyAddress for any of the above reasons, any Credits already purchased by the client will not be refunded and will be forfeited.

Force majeure
ProxyAddress will not be liable to the client or be deemed to be in breach of this agreement by reason of delay in performing, or any failure to perform, any of our obligations in relation to the service, if the delay or failure was beyond our reasonable control.

Without prejudice to the generality of the foregoing, the following shall be regarded as causes beyond our reasonable control:

• Act of god, explosion, flood, tempest, fire or accident, cyber attack, adverse weather, act of government, plague or epidemic/pandemic.

Service availability
We undertake to you that the services will be provided using reasonable skill and care.
ProxyAddress shall use commercially reasonable endeavours to make the services available 24 hours a day, seven days a week.
Planned maintenance which may affect the service is typically scheduled out with Mon-Fri 9am - 5pm. Relevant service disruption notices and support are provided to both clients and data subjects. In the event of planned maintenance which affects access to the service during working hours, (Mon-Fri 9am - 5pm,) ProxyAddress will provide at least 72 hours notice to clients.
In the event of extenuating circumstances i.e. critical vulnerability, a security incident or similar, the response to limit the service may be without notice.
ProxyAddress may at any time amend or improve the service for any reason including, but not limited to, technical, legal or business reasons and will inform clients by email on release of any significant changes to the service.
We will use all reasonable endeavours to meet any performance dates specified in the Contract schedule or on our website, but any such dates are estimates only and failure to perform the services by such dates will not give you the right to terminate this agreement.

Customer support availability
Online ticket support functionality is available 24/7 to clients and data subjects when engaging with ProxyAddress. Queries are monitored Monday to Friday 09:00 - 17:00 (GMT) with a response time of up to 48 hours hours (across working days).
Online tickets will not be monitored on 25th December, 26th December and 1st January. Any tickets submitted during this time, or on weekends, will be reviewed the next working day.
Early access

From time to time ProxyAddress may offer the client the opportunity to use new features that ProxyAddress considers to not be final or ready for general use (“early access”). The client acknowledges and agrees that:

• Early access may impact the availability of, and the client’s use of, the service.
• Early access may not be used for commercial purposes.
• Early access may not operate properly or be fully functional.
• ProxyAddress has the right to abandon development, maintenance, and operation of early access at any time and without obligation or liability to the client.

Service charges


In consideration of us providing the service you must pay our service charges (the “service charges”). The service charges include:

• Subscription fee: a recurring payment determined by the number of service users or, in the case of first-time subscriptions, expected service users based on previous records. This will be an annual fee. The subscription fee is paid in advance.
• Credit purchases: a ‘pay as you go’ system determined by the number and scope of cases onboarded to the ProxyAddress service.

The service Charges are the prices quoted in ProxyAddress’ standard pricing schedule, unless otherwise agreed. Prices exclude VAT which shall be added and charged at the prevailing rate. We accept payment in UK pounds sterling only.
Prices may be subject to change, clients will be given 30 days’ notice from the next invoice date of any amendments to ProxyAddress’ standard pricing schedule.
ProxyAddress shall have the right to increase service charges during a subscription term. Clients will be given 30 days’ notice from the end of the next invoice date of any increase to service charges.

Purchasing credits
Specified service users can purchase additional credits by contacting the ProxyAddress support team via the online ticket support feature when logged into your ProxyAddress account.
The number of credits required for each ProxyAddress user acount will depend on the type and scope of services required, as set out in ProxyAddress’ standard pricing schedule. Credits will be applied to your account within 24 hours of request and invoice once applied. ProxyAddress reserves the right to refuse a request for credit purchase if any outstanding service charges have not been paid.

Invoicing
With the exception of the initial invoice, the subscription fee and credit purchases are invoiced separately. The initial invoice will include your first annual subscription fee and initial credit purchase. It will be issued on the set up of your ProxyAddress account and is payable within 7 days of your set up date.
If payment is made via invoice, invoices will be sent from accounts@proxyaddress.co.uk to a contact named by the client as part of the set up process. If payment is made by direct debit, payments will be deducted on the agreed payment due date.
Invoices are issued within 2 working days of request for a credit purchase and are payable within 7 calendar days.
You shall not be entitled by reason of any set-off, counterclaim, abatement, or other deduction to withhold payment of any amount due to ProxyAddress.

Refunds
Unused credits are non-refundable in the event of cancellation by the client.
If the service fails due to a ProxyAddress error (rather than data subject, service user, or client error) you will be given a credit free of charge. If the service fails due to your; service user or data subject error, no refund or new credit will be given.

Changes


Should the client require a change in the nature, scope or timing of the service or in any other aspect of this agreement, such change shall be requested in writing through the online ticket support feature or directly to the client’s ProxyAddress account manager (if so appointed). ProxyAddress shall advise the client of the effects of the change,including any increase in the service charges, and shall update and re-issue the Contract schedule to reflect such changes. No change requested by the client shall be implemented unless agreed in writing between the client and ProxyAddress.

We reserve the right to change these terms of this agreement from time to time. Clients will be notified of any changes and these amended terms will be posted on our website and will be effective from the client’s next invoice date. By placing a new order for credits, your continued use of the service will be deemed to constitute your acceptance of all of the new terms. These terms may not otherwise be changed without our written consent.

Client obligations and use of service


It is your responsibility to ensure that:
• The terms of your order are complete and accurate;
• You provide us with such information and materials we may reasonably require in order to supply the services, and ensure that such information is complete and accurate in all material respects;
• You and the service users keep all security details (usernames and passwords) related to the services secure and confidential;
• You, your employees, agents, consultants and subcontractors must adhere to ProxyAddress’s data security arrangement, and Service user terms.

Disclaimer and limitation of liability


Nothing in this agreement seeks to exclude ProxyAddress’s liability for death, personal injury, fraud or fraudulent misrepresentation.
We will not be liable to you, whether in contract, delict/tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with the agreement for:
• Loss of profits;
• Loss of sales or business;
• Loss of agreements or contracts;
• Loss of or damage to goodwill; or
• Any indirect or consequential loss.

Our total liability to you arising under or in connection with this agreement, whether in contract, delict/tort (including negligence), breach of statutory duty, or otherwise, will be limited to the lesser of (i) £10,000; or (ii) the total amount paid (in cleared funds) to ProxyAddress by the client over the 12 month period preceding the event giving rise to the liability.

Except as expressly stated in this agreement, we do not give any representations, warranties or undertakings in relation to the service or website. Any representation, condition or warranty which might be implied or incorporated into this agreement by statute, by common law or otherwise are, to the fullest extent permitted by law, excluded from this agreement.

ProxyAddress will not be liable for any damage or loss arising out of or in connection with the client or service users’ disclosure of security information (usernames and passwords).

ProxyAddress is not responsible or liable in any way for the client’s use of any ID verification results or advising what verification is sufficient, including (but not limited to) the impact or outcome of any decision that the client makes based on the result of any check.

ProxyAddress is not responsible for the client’s data storage arrangements or storage of any data once downloaded/removed from the ProxyAddress platform by the client or any service user. The client is responsible for storing such data in line with all relevant legislation and applicable rules and regulations.

Intellectual property rights


All Intellectual Property rights in or arising out of or in connection with the services or the website are owned by ProxyAddress.

Nothing in this agreement transfers to you any rights of ownership of any intellectual property rights in the service or the website, or constitutes a licence to use such intellectual property rights other than to the extent expressly set out in this agreement. Without our prior written permission, you may not copy, modify, alter, publish, broadcast, distribute, sell or transfer any material on this website or the underlying software code whether in whole or in part.

Confidentiality


The recipient of any sensitive or proprietary information (“confidential information”) under this agreement or the through provision or use of the service will not disclose that confidential information to any third party, except:
• Employees;
• Affiliates;
• Professional advisors; and/or
• Third party service providers,

who need to know it and who have agreed in writing (or are otherwise bound) to keep such information confidential, and only to the extent required for fulfillment of this agreement.

The recipient will ensure that those people and entities:
Use such confidential Information only to exercise rights and fulfil obligations under this agreement; and
Keep such confidential information confidential.

Assignation of rights


ProxyAddress may, after having given prior written notice to the client, assign its rights under this agreement to any person to which it transfers its business, provided that the assignee undertakes in writing to the client to be bound by ProxyAddress’ obligations under this agreement.

Service user agreement summary


These Service user terms apply to your use of all services offered by ProxyAddress (“the Service”).

In these terms, you, being the person using the Service, are referred to as the “Service User” or “you”. Your employer, contracting entity or principal is referred to as the “Client”. Terms defined in the Business terms have the same meaning in this Service user terms.

These Service user terms are designed to ensure compliance with the relevant laws and regulations and protects the interest of all of our Clients, their customers, as well as our reputation.

By using the Service, you are agreeing to these terms and confirm that you comply with all relevant rules and regulations or any legislation applicable to your business area.

Clients and their service users agree to abide by these Service user terms and are responsible for any violations. You are prohibited from assisting or engaging others in a way that would violate this agreement.

Acceptable use


The provision of the service is to facilitate business decisions in respect of compliance and security issues.
You shall not use any data generated by use of the service (“the Output data”) for any purpose other than:
• Prevention of money laundering;
• Identity verification;
• Assessing the risk of granting credit to consumers;
• Detecting fraud in relation to the grant of credit to consumers

ProxyAddress is not responsible or liable in any way for the service users’, client’s use of any output data generated by completion of a check, including (but not limited to) the impact or outcome of any decision that the client or service user makes based on any output data or a result of any check.

You may use our service only for lawful purposes. You may not use the services:
• In any way that breaches any applicable local, national or international law or regulation, or in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.
• For the purpose of harming or attempting to harm minors in any way.
• To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards, or to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).
• To knowingly transmit any data, send or upload any material that contains viruses, trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.
• To reproduce, duplicate, copy or re-sell any part of our site in contravention of the provisions of our terms of website use.

Trademarked materials
You warrant and represent that any element of text, graphics, photos, designs, trademarks or other material supplied to ProxyAddress for inclusion in the application used to provide the service are owned by you, or that you have permission from the rightful owner to use each of these elements.

Customer data


You warrant that all information and data subject data submitted by you is provided in good faith and is accurate to the best of your knowledge.
You are responsible for the quality of the data subject data submitted, including the accuracy and ensuring the content is not misleading in any way. You are responsible for ensuring the data subject data is submitted correctly and in a clear format to allow ProxyAddress to fulfil the service. Proxyddress will be the sole arbiter of this issue.
ProxyAddress shall have no liability for any damage or loss caused by errors or omissions in any information, instructions or scripts provided by the service user in connection with the services.
ProxyAddress is not responsible for the client’s data storage arrangements or storage of any data once downloaded/removed from the ProxyAddress platform by the client or any service user. The client is responsible for storing such data in line with all relevant legislation and applicable rules and regulations.

Account management


Service users If the number of service users or data subjects is referenced within your Contract schedule, adding additional service users or data subjects is subject to additional charges.
Admin users have the ability to add new service users or data subjects and must notify ProxyAddress support within 24 hours of adding a new service user or data subject to ensure that the Contract schedule is updated and the addition of more service users or data subjects is reflected in invoices.

Credit purchase During the account set up process an admin service user/s will be appointed to authorise a request for additional credit purchases. This can be done by contacting ProxyAddress support via the in-app ticketing system or by email to support@proxyaddress.co.uk.
Requests raised by a non-authorised individual will be deferred to the authorised individual.

User support availability Online ticket support functionality is available 24/7 to service users and data subjects when engaging with ProxyAddress. Queries are monitored Monday to Friday 09:00 - 17:00 with a maximum response time of 48 hours (across working days).
Online tickets will not be monitored on 25th December, 26th December and 1st January. Any submitted during this time, or on weekends, will be reviewed the next working day.
Any contact should be made, in the first instance, via the in-app ticket support functionality where queries are monitored, tracked and reported to support product development.

Security


Login credentials All service users are responsible for ensuring that all security details (identification details and password(s)) for the service are secure and confidential at all times.

Two factor authentication is supported by ProxyAddress and all users are encouraged to utilise this feature.

Security login credentials required for the use of the service are provided for individual use only. Generic email addresses or those with shared mailboxes are not permitted (eg. info@, help@). Sharing or distribution of login credentials is deemed a breach of these terms and ProxyAddress may terminate any account if login credentials are shared or distributed. ProxyAddress will not be liable for damage or loss arising out of or in connection with a service user’s disclosure of such security information to any third party.

All Service users must inform us immediately if they become aware of or suspect any unauthorised use of these security details or if they become available to an unauthorised party.

Network
It is your responsibility to maintain a network and internet connection to use the service. You must also maintain an updated browser, firewall or antivirus and antispyware software. Service users must protect their device systems and ensure that they update all security software by downloading the latest security patches from the relevant software providers.

Data
You will comply with the data security arrangements and obligations as contained within ProxyAddress’ terms.

Viruses


ProxyAddress takes extensive measures to ensure that information within the service is secure. We do not guarantee that our service will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform to access our site. You should use your own virus protection software.

ProxyAddress’ in-app antivirus document scanning should be used in conjunction with other antivirus software and security processes. ProxyAddress does not guarantee that all viruses or issues will be detected.

You must not misuse our site by knowingly introducing viruses, Trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Service, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of-service attack or a distributed denial-of service attack.

Suspension and termination


Failure to comply with these terms constitutes a material breach of the terms of use upon which you are permitted to use the service, and may result in suspension or termination of the service in addition to, our taking of further action, including legal proceedings or disclosing such information to law enforcement authorities as we reasonably feel is necessary.

We exclude liability for actions taken in response to breaches of this Service user agreement. The responses described in this policy are not limited, and we may take any other action we reasonably deem appropriate.

Throughout this agreement we refer to you as "you"" or the "Data Subject".

The service


On behalf of the company, firm, corporation or public authority (the “Client”) who wishes to use the ProcyAddress Service to process your Personal Data, we provide online anti-money laundering, identification and compliance checks (“Checks”) on Personal Data submitted by you through our service.
On the request of the Client, you will receive - or have received - a verification request email from us, which includes a link for you to submit the Personal Data required to allow us to complete the Checks required by our Client. On submitting the required Personal Data through our service, we will complete the Checks and provide the results of those Checks (including your Personal Data) to our Client. The results of all Checks will be shared with the Client, without any prior approval by you.

We will use all reasonable endeavours to provide the Service as described on the Website, but cannot guarantee the Service will operate continuously or without interruption. We also reserve the right to refuse to carry out any checks at our own discretion.

Payment


Charges for the Service shall be met by our Client and you shall have no obligation to meet any charges.

Your privacy


Under data protection legislation, we are required to provide you with certain information about who we are, how we process your personal data and for what purposes and your rights in relation to your personal data and how to exercise them. This information is provided in our privacy policy and it is important that you read that information.

Please be aware that internet transmissions are never completely private or secure and that any message or information you send using the Service may be read or intercepted by others, even if there is a special notice that a particular transmission is encrypted.

Data subject obligations


By providing your Personal Data and using the Service it is your responsibility to ensure that all the information and documents submitted by you (or on your behalf) are true, accurate, current and complete.
If you submit inaccurate, counterfeit, out of date, misleading or incomplete information or documents, we will be entitled to suspend or terminate your use of the Service and will advise our Client accordingly.

Our right to make changes


We may make non-material changes to the Service from time to time to reflect changes in relevant laws and regulatory requirements, or to implement minor technical adjustments and improvements. These changes should not materially affect your use of the Service.
From time to time, it will be necessary to update the terms of this agreement. We will notify you of any such changes and you may then contact us to end this agreement before the changes take effect if you do not wish to be bound by the revised agreement.

Termination of this agreement


This agreement for provision of the Service is completed when we have finished providing the Service. If you want to end this agreement before the Service is completed, just contact us to let us know.
We may end this agreement if you do not, within a reasonable time of us asking for it, provide us with the Personal Data or information required that is necessary for us to provide the Service. In addition, we may end this agreement if you provide any Personal Data, information or documentation that is inaccurate, counterfeit, incomplete or otherwise unacceptable under the terms of this agreement.
We will not tolerate anyone being rude or offensive to our staff or otherwise abusing the Service in any way and we reserve the right to end this agreement with immediate effect as a result of such behaviour (at our own discretion).

Disclaimer and limitation of liability


You use the Service at your own risk and we will not be liable for any unforeseeable loss or damage suffered as a result of your use of our Service. We are not responsible for your use of the Service or the impact of the Check results we provide to the Client or any other outcome as a result of using the Service.
It is your responsibility to maintain an updated browser, firewall or anti-virus and anti-spyware software in order to allow you to use the Service.
We cannot guarantee 100% uptime or uninterrupted operation of the Service.
We are not responsible for the mistakes of any third party search provider or external delays.
We are not responsible for the Client’s data storage arrangements or its storage of your Personal Data after the Check is completed, or if in any instance data is removed from the ProxyAddress product and held in any other third party systems.

Other important terms


We may transfer our rights and obligations under this agreement to another organisation. You may only transfer your rights or your obligations under this agreement to another person if we agree to this in writing.
Failure or delay by us in enforcing any term of the agreement shall not be construed as a waiver of any of our rights under it.
In this agreement the terms “Personal Data”, “Data Controller”, “Data Processor” and “processing” shall have the same meanings as designed in the General Data Protection Regulation and the Data Act 2018.
These terms are goverened by English law.



Cookies

A cookie is a small file of letters and numbers that is downloaded on to your computer when you visit a website.
